Health and Wellness Coaching/Aging, Death and Grief Guide Agreement

This Agreement is entered into by and between: Kelli Lyles, MA dba KelliLyles.com, (Guide/Coach/Kelli) and (Client) whereby Kelli Lyles agrees to provide Health and Wellness Coaching and/or Grief Guide Services for Client.

1) Coach/Guide-Client Relationship

A. Kelli agrees to maintain the ethics and standards of behavior established by the Board Certified Coach (BCC) Code of Ethics (https://www.cce-global.org/Assets/Ethics/BCCcodeofethics.pdf) (It is recommended that the Client review the BCC Code of Ethics and the applicable standards of behavior. Kelli holds a bachelors degree in psychology with a minor in sociology and a masters degree in gerontology.

B. Client is solely responsible for creating and implementing their own physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coach/guide relationship and their coach/guide calls and interactions with the Kelli. As such, the Client agrees that the Kelli is not and will not be liable or responsible for any actions or inaction, or for any direct or indirect result of any services provided by her. Client understands that coach/guide services are not therapy and do not substitute for therapy if needed, and do not prevent, cure, or treat any mental disorder or medical disease.

C. Client further acknowledges that he/she/they may terminate or discontinue the guide services relationship at any time.

D. The Client understands that engaging in coach/guide services is a deeply personal journey that touches on various crucial aspects of life—transitions such as pregnancy, birth and postpartum as well as aging, death, and grief. The Client recognizes that navigating these areas can evoke a complex mix of emotions and challenges. Ultimately, the responsibility of deciding how to address these profound matters, making heartfelt choices, and integrating meaningful principles into each facet of life rests solely with the Client. This journey is not just about choices; it’s about embracing the power within to shape a fulfilling and authentic life, even in the face of difficult transitions

E. Client acknowledges that coach/guide services do not involve the diagnosis or treatment of mental disorders as defined by the American Psychiatric Association and that coach/guide services are not to be used as a substitute for counseling, psychotherapy, psychoanalysis, mental health care, substance abuse treatment, or other professional advice by legal, medical or other qualified professionals and that it is the Client’s exclusive responsibility to seek such independent professional guidance as needed. If Client is currently under the care of a mental health professional, it is recommended that the Client promptly inform the mental health care provider of the nature and extent of the coach/guide relationship agreed upon by the Client and Kelli.

F. The Client understands that in order to enhance the coach/guide relationship, the Client agrees to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the program.

2) Services

Health and Wellness Coaching and Grief Guide services embody a heartfelt partnership—defined as an alliance rather than a legal business partnership—between Kelli and the client. This thoughtful and creative journey aims to inspire clients to embrace their emotions and navigate their experiences with compassion and understanding. The services are designed to help clients explore their feelings, find assimilation with those feelings, and cultivate a deeper sense of connection with themselves and others as they navigate the complexities of various life transitions. Together, we will work to uncover inner strength and resilience, creating a path toward emotional well-being and fulfillment.

3) Schedule, Fees and Cancellations

This Health and Wellness Coach and Grief Guide Services agreement is valid as soon as the first appointment has been made and will continue to be in place for all future appointments.

Kelli’s current fee is $150/session. Sessions are approximately 60 minutes give or take a minute or two on either side. Payment is due by the end of the day that a session is held. When booking the first appointment, a card must be stored and this card will be charged after each appointment. If payment is not made on the day of service, no further appointments can be scheduled until payment is made for the previous appointment. And any outstanding balances past 30 days will incur a late payment fee of $25 each month.

There are no refunds of fees once service has been provided. If a client needs to cancel an appointment, Kelli requires 24 hours notice. Any cancellation under 24 hours prior to the appointment time or a no-show/no contact will be charged the full $150 fee.

It is understood that there are emergency situations and life happens and Kelli is more than happy to discuss each individual situation prior to billing a fee for a missed appointment, but please understand that cancellations affect her time, her business, and also the potential for another client who may have wanted a time which was previously booked by another client. Kelli works very hard to respect her clients’ time and expects the same respect of her time from her clients

4) Procedure

The time of the sessions and/or location will be determined by Kelli and Client based on the appointment time chosen by the client. The details of the meeting will be found in the Calendly platform or otherwise specified by Kelli. 

5) Confidentiality

This coaching/guide services relationship, as well as all information (documented or verbal) that the Client shares with Kelli as part of this relationship, is bound by the principles of confidentiality set forth in the BCC Code of Ethics. However, please be aware that the Coach/Guide-Client relationship is not considered a legally confidential relationship (like the medical and legal professions) and thus communications are not subject to the protection of any legally recognized privilege. Kelli agrees not to disclose any information pertaining to the Client without the Client’s written consent. Kelli will not disclose the Client’s name as a reference without the Client’s consent.

Confidential Information does not include information that: (a) was in Kelli’s possession prior to its being furnished by the Client; (b) is generally known to the public or in the Client’s industry; (c) is obtained by Kelli from a third party, without breach of any obligation to the Client; (d) is independently developed by Kelli without use of or reference to the Client’s confidential information; or (e) Kelli is required by statute, lawfully issued subpoena, or by court order to disclose; (f) is disclosed to Kelli and as a result of such disclosure she reasonably believes there to be an imminent or likely risk of danger or harm to the Client or others; and (g) involves illegal activity. The Client also acknowledges his/her/their continuing obligation to raise any confidentiality questions or concerns with Kelli in a timely manner. According to the ethics of the profession, topics may be anonymously and hypothetically shared with other professionals for training, supervision, mentoring, evaluation, and for professional development and/or consultation purposes.

8) Termination

Either Kelli or the Client may terminate this Agreement at any time. 

9) Limited Liability

Except as expressly provided in this Agreement, Kelli makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the coach/guide services negotiated, agreed upon and rendered. In no event shall Kelli be liable to the Client for any indirect, consequential or special damages. Notwithstanding any damages that the Client may incur, Kelli’s entire liability under this Agreement, and the Client’s exclusive remedy, shall be limited to the amount actually paid by the Client to Kelli under this Agreement for all guide services rendered through and including the termination date.

10) Entire Agreement

This document reflects the entire agreement between Kelli and the Client and reflects a complete understanding of the parties with respect to the subject matter. This Agreement supersedes all prior written and oral representations. The Agreement may not be amended, altered or supplemented except in writing signed by both Kelli and the Client.

11) Dispute Resolution

If a dispute arises out of this Agreement that cannot be resolved by mutual consent, the Client and Kelli agree to attempt to mediate in good faith for up to 30 days after notice given. If the dispute is not so resolved, and in the event of legal action, the prevailing party shall be entitled to recover attorney’s fees and court costs from the other party.

12) Severability

If any provision of this Agreement shall be held to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable. If the Court finds that any provision of this Agreement is invalid or unenforceable, but that by limiting such provision it would become valid and enforceable, then such provision shall be deemed to be written, construed, and enforced as so limited.

13) Waiver

The failure of either party to enforce any provision of this Agreement shall not be construed as a waiver or limitation of that party’s right to subsequently enforce and compel strict compliance with every provision of this Agreement.

14) Applicable Law

This Agreement shall be governed and construed in accordance with the laws without giving effect to any conflicts of law’s provisions.

15) Binding Effect

This Agreement shall be binding upon the parties hereto and their respective successors and permissible assigns.
